Track Tools Pro Terms of Use

Effective Date: July 6, 2026

Welcome to Track Tools Pro ("Company," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of our website at tracktoolspro.com, mobile applications, and coaching platform services (collectively, the "Services"). Track Tools Pro is a training management platform specifically designed for scholastic track and field programs.

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE MANDATORY ARBITRATION PROVISION IN SECTION 15 AND THE CLASS ACTION WAIVER. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.

1. Eligibility and Account Registration

1.1 Invitation-Only Access

Track Tools Pro operates on an invitation-only basis. All users must be invited by an authorized Coach or Administrator affiliated with a registered team or educational institution. Direct sign-ups without an invitation are not permitted.

1.2 Coaches and Administrators

If you are registering as a Coach or Administrator, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to bind yourself, your team, and/or your educational institution to these Terms; (c) you are authorized by your institution to use electronic platforms for athletic team management; and (d) all information you provide is accurate and complete.

1.3 Athletes (Including Minors)

Athletes may only access the Services after receiving an invitation from their Coach. If you are an athlete under 18 years of age, your use of the Services is contingent upon: (a) consent from your parent, legal guardian, or authorized school official acting as the parent's agent under applicable law; and (b) your Coach's or institution's verification that appropriate consent has been obtained. Athletes under 13 years of age may only use the Services if their school or Coach has provided consent on behalf of parents in accordance with the Children's Online Privacy Protection Act (COPPA) school consent exception.

1.4 Account Security and Responsibility

You are solely responsible for: (a) maintaining the confidentiality of your login credentials; (b) all activities that occur under your account; and (c) immediately notifying us of any unauthorized use. Coaches and Administrators agree to promptly revoke access for any staff member, athlete, or other user who leaves their program or whose authorization is terminated.

2. Physical Activity and Medical Disclaimer

THIS SECTION CONTAINS IMPORTANT LIMITATIONS ON LIABILITY FOR PHYSICAL INJURY. PLEASE READ CAREFULLY.

2.1 Nature of Services

Track Tools Pro is a data management and analytics tool designed to assist coaches and athletes in organizing, tracking, and analyzing athletic training. We are NOT a medical provider, licensed healthcare professional, certified athletic trainer, or physical therapist. The Services do not constitute medical advice, diagnosis, or treatment.

2.2 Assumption of Risk

You expressly acknowledge and agree that participation in track and field athletics, including but not limited to sprinting, distance running, hurdling, jumping events, throwing events, and associated strength and conditioning activities, involves inherent and significant risks of serious physical injury, permanent disability, or death. These risks include but are not limited to: muscle strains, stress fractures, ligament tears, cardiac events, heat-related illness, and impacts from equipment or falls. YOU VOLUNTARILY ASSUME ALL SUCH RISKS, both known and unknown, associated with your participation in athletic activities, regardless of whether such activities are logged, tracked, or analyzed using the Services.

2.3 Analytics Are Not Medical Diagnoses

Features within the Services, including but not limited to the "Pulse Dashboard," Acute:Chronic Workload Ratio ("ACWR") calculations, fatigue indicators, injury risk flags, training load metrics, and wellness monitoring tools, are algorithmic estimates based solely on user-inputted data. These features are intended for informational and educational purposes only. They are NOT medical diagnoses, clinical assessments, or substitutes for evaluation by qualified healthcare professionals. You should NEVER disregard professional medical advice, delay seeking medical treatment, or make training decisions that could affect your health based solely on information provided by the Services.

2.4 Coach-Prescribed Workouts

Track Tools Pro does not prescribe, design, or recommend specific workouts. All training programs, workout prescriptions, and coaching decisions are the sole responsibility of the Coach and/or athlete. We expressly disclaim any liability for injuries or health complications arising from workouts prescribed by coaches or self-administered by athletes, regardless of whether such workouts are logged or tracked within the Services.

2.5 Release of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE Track Tools Pro, its officers, directors, employees, contractors, agents, successors, and assigns from any and all claims, demands, damages, losses, costs, expenses (including attorneys' fees), and causes of action arising out of or relating to personal injury, illness, death, or property damage resulting from your use of the Services or your participation in athletic activities.

3. AI-Powered Features and Artificial Intelligence

3.1 Description of AI Features

The Services incorporate artificial intelligence ("AI") capabilities to enhance training analysis and provide insights. These features may include: (a) "Motion Lens" video analysis with biomechanical feedback and skeletal overlays; (b) "AI Chat" and "Tempo" coaching assistants for training-related questions and suggestions; (c) automated pattern recognition in training data; (d) predictive analytics for performance and injury risk assessment; (e) AI-proposed workflow actions that require coach approval before execution; and (f) voice-note transcription that converts optional voice recordings into text.

3.2 Third-Party AI Providers

Our AI features are powered by third-party artificial intelligence services, including Google (Gemini API), xAI (Grok), and Groq (audio transcription). When you use AI-powered features, relevant data may be transmitted to these providers for processing. Important disclosures regarding these services:

  • Google Gemini API (Paid Services): Google does not use your prompts or data to train its foundational AI models. Data is logged only for abuse detection and service integrity purposes.
  • xAI Grok (Enterprise): xAI does not use business data to train its AI models. Inputs and outputs are automatically deleted within 30 days of processing.
  • Groq (Audio Transcription): When you use voice input, your audio recording is transmitted to Groq solely to generate a text transcription that is returned to you. Groq does not use API data to train AI models.

3.3 Your Data Is Not Used for AI Training

YOUR PERSONAL ATHLETIC DATA IS NOT USED TO TRAIN THE UNDERLYING AI MODELS.

We do not permit our AI providers to use your personal information, training logs, wellness data, or performance metrics to train or improve their general-purpose AI systems.

3.4 AI Accuracy Limitations

You acknowledge and agree that AI systems may produce inaccurate, incomplete, or misleading results (sometimes referred to as "hallucinations"). AI-generated content, including biomechanical analysis, technique feedback, training suggestions, and skeletal overlays, should always be verified by a qualified human coach before implementation. AI outputs are provided "as is" without warranties of accuracy, completeness, or fitness for any particular purpose. For Tempo and similar agentic workflows, proposed actions are drafts and are not executed until approved by an authorized user.

3.5 License for Video Analysis

By uploading video content for Motion Lens analysis, you grant Track Tools Pro a worldwide, non-exclusive, royalty-free license to process that video solely for the purpose of providing the analysis service to you. We may use genuinely anonymized and de-identified video data (with all personally identifiable information removed) to improve our computer vision algorithms. You may opt out of this secondary use by contacting us at support@tracktoolspro.com.

3.6 Connected AI Agents and API/MCP Access

The Services include an application programming interface exposed via the Model Context Protocol ("MCP") that allows Coaches to connect third-party AI assistants and agents (for example: Claude, or other MCP-compatible tools) to their Track Tools Pro account. If you connect a third-party agent:

  • Your access credentials and tokens are confidential. You are responsible for safeguarding them and for all actions taken through your connected agents, which are attributed to your account and subject to these Terms and your account's permissions.
  • Data that a connected agent retrieves from the Services, including athlete and team data, is transmitted to that agent and processed by its AI provider under that provider's own terms and privacy policy. We do not control, and are not responsible for, third-party agents or their AI providers.
  • Coaches are responsible for ensuring that connecting a third-party agent, and any resulting disclosure of student-athlete data to that agent's provider, is authorized by their institution's policies and applicable law (including FERPA, where applicable).
  • We may throttle, suspend, or revoke API or MCP access at any time to protect the Services or our users.

4. Code of Conduct and SafeSport Compliance

4.1 Commitment to Athlete Safety

Track Tools Pro is committed to providing a safe environment for all users, particularly minor athletes. All users must comply with applicable SafeSport policies, institutional codes of conduct, and school district regulations regarding electronic communications with minors.

4.2 Prohibited Conduct

You agree that you will NOT engage in any of the following, whether through messaging, polls, file attachments, or any other feature of the Services:

  • Use the Services to harass, bully, intimidate, stalk, groom, or abuse any user
  • Upload, transmit, or share sexually explicit content, content depicting violence, or content that sexualizes minors in any way
  • Engage in any conduct that violates the U.S. Center for SafeSport Code or equivalent institutional policies
  • Share login credentials or allow unauthorized access to athlete data
  • Use the Services for any illegal purpose or in violation of applicable laws
  • Attempt to reverse engineer, decompile, or extract source code from the Services
  • Scrape, harvest, or collect user data without authorization
  • Use the Services to recruit athletes in violation of NCAA, NAIA, or other governing body rules without proper authorization
  • Transmit malware, viruses, or other malicious code
  • Impersonate another person or misrepresent your affiliation with any team or institution
  • Solicit, promote, or facilitate the use of performance-enhancing substances prohibited by WADA, USADA, or applicable governing bodies

4.3 Coach-Athlete Communications

Coaches agree to adhere to all applicable SafeSport and school district policies regarding electronic communications with minors. This includes, where applicable, avoiding one-on-one private digital communications without appropriate oversight, maintaining professional boundaries, and ensuring all communications are transparent and appropriate.

4.4 Recruiting Tools and Prospective-Athlete Data

The Services include recruiting management features that allow authorized Coaches to store and organize information about prospective student-athletes ("Recruits"), including information collected through public questionnaire links and recruit-facing update links. If you use these features, you represent and agree that: (a) your use complies with all applicable NCAA, NAIA, NJCAA, or other governing body recruiting rules and applicable laws; (b) you will only enter, paste, or import Recruit information that you are lawfully permitted to use, and you will not use the Services to scrape or collect data from third-party websites in violation of their terms of service; (c) you are responsible for the accuracy of Recruit information you enter; and (d) you will honor reasonable requests from Recruits or their parents/guardians regarding their information. Recruits may request deletion of their information as described in our Privacy Policy.

5. Team Messaging

5.1 Description

The Services include a messaging feature that enables coaches and athletes to communicate within team channels, event group channels, and direct messages. Messaging includes text messages, threaded replies, emoji reactions, polls (public and anonymous), @mentions, scheduled messages, and file attachments.

5.2 Message Content and Conduct

All messages, polls, file attachments, and other content shared through the messaging feature are subject to the Code of Conduct in Section 4. Coaches are responsible for monitoring messaging activity within their team channels. Messages sent in team and event group channels are visible to all members of that channel. Direct messages are visible only to the participants.

5.3 File Attachments

Users may share files through messaging, including images, videos, documents, and other supported file types. Uploaded files are stored on AWS S3 and are subject to the same content policies as all other User Content. We reserve the right to remove files that violate our Code of Conduct or applicable law.

5.4 Message Retention and Deletion

Messages, including all associated reactions, poll data, read receipts, and file attachments, are automatically deleted 60 days after creation. This deletion is permanent and cannot be reversed. Users should not rely on the messaging feature for long-term record-keeping. Scheduled messages that have not yet been delivered may be edited or cancelled before their scheduled delivery time.

5.5 Push Notifications

The Services may send push notifications to your mobile device for messaging activity, including new messages, @mentions, replies to your messages, and emoji reactions on your messages. You may disable push notifications at any time through your device settings.

5.6 SMS (Text Message) Program

With your consent, Track Tools Pro sends SMS text messages, including team invitation messages containing a link to join a team (initiated when a Coach invites you), account setup and sign-in help messages, and important account or roster notifications. You may opt in by submitting the sign-up form at tracktoolspro.com/sms-opt-in, or by providing your mobile number and affirmative consent during account registration or when accepting a team invitation.

  • Message frequency varies (typically 1–4 messages per month).
  • Message and data rates may apply.
  • You can cancel at any time by replying STOP to any message. After you send STOP, we will send one final message confirming that you have been unsubscribed.
  • For help, reply HELP to any message or email us at support@tracktoolspro.com.
  • Consent to receive text messages is not a condition of purchasing or using any Track Tools Pro service.
  • Wireless carriers are not liable for delayed or undelivered messages.
  • If you change or deactivate your mobile number, you agree to update your account information or notify us promptly.

Our collection and use of your mobile number and opt-in consent is described in our Privacy Policy. We do not share mobile numbers or opt-in consent with third parties or affiliates for their marketing or promotional purposes.

6. Subscriptions, Billing, and Payments

6.1 Subscription Plans

Track Tools Pro offers multiple subscription tiers with different feature sets and athlete capacity limits. Paid subscriptions are billed on a recurring monthly or annual basis: Basic ($10/month or $100/year), Team ($20/month or $200/year), and Pro ($30/month or $300/year). Current pricing and plan details are available on our website.

6.2 Payment Processing

All payments are processed by Stripe, Inc. ("Stripe"), our third-party payment processor. By providing payment information, you authorize us to charge your designated payment method for all applicable fees. Payment information is transmitted directly to Stripe's secure servers and is never stored on Track Tools Pro's systems. Stripe's services are subject to the Stripe Services Agreement and Stripe Privacy Policy available at stripe.com.

6.3 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period, and you will retain access to your plan's paid features until that date.

6.4 Refund Policy

Payments are generally non-refundable. However, if you believe you have been charged in error or have experienced a significant service disruption, you may contact us at support@tracktoolspro.com to request a review. Refund decisions are made at our sole discretion.

6.5 Price Changes

We reserve the right to modify subscription pricing. We will provide at least 30 days' advance notice of any price increases. Continued use of the Services after the price change effective date constitutes acceptance of the new pricing.

7. User Content and Data Ownership

7.1 Your Ownership Rights

You retain full ownership of all content you submit to the Services, including but not limited to: training logs, workout data, performance records, videos, photos, notes, and wellness entries (collectively, "User Content"). Track Tools Pro does not claim ownership of your User Content.

7.2 License to Track Tools Pro

By submitting User Content, you grant Track Tools Pro a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and process your User Content solely for the purposes of: (a) providing the Services to you and your team; (b) improving and maintaining the Services; and (c) creating Aggregated Statistics as described below. This license terminates when you delete your User Content or account, except for content that has been shared with others or incorporated into Aggregated Statistics.

7.3 Aggregated Statistics

We may create anonymized, aggregated, and de-identified data derived from User Content that cannot reasonably be used to identify any individual user ("Aggregated Statistics"). We own all rights to Aggregated Statistics and may use them for research, benchmarking, product improvement, and other lawful business purposes without restriction.

7.4 Coach and Team Access

When an athlete joins a team, they authorize their Coach(es) and designated team Administrators to view and manage their training data within the platform. When an athlete leaves a team: (a) Coach and team access to that athlete's data is immediately revoked; (b) the athlete retains full access to their historical data; (c) the team may retain only genuinely anonymized aggregate data for statistical record-keeping purposes; and (d) the athlete may export their data before departure.

8. Intellectual Property

8.1 Our Intellectual Property

The Services, including but not limited to the visual interfaces, graphics, design, compilation, code, software, algorithms, and all other elements, are owned by Track Tools Pro and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The Track Tools Pro name, logo, and all related marks are our trademarks. You may not use our trademarks without prior written permission.

8.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal team management purposes. This license does not include any right to: (a) resell or commercially exploit the Services; (b) copy, reproduce, or distribute any part of the Services; (c) modify or create derivative works; or (d) reverse engineer or attempt to extract source code.

9. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy. Please review the Privacy Policy carefully to understand how we handle your information.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TRACK TOOLS PRO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING AI-GENERATED CONTENT. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRACK TOOLS PRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO TRACK TOOLS PRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) FIVE HUNDRED U.S. DOLLARS ($500).

11.3 Physical Injury Disclaimer

WITHOUT LIMITING THE FOREGOING, TRACK TOOLS PRO SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY PERSONAL INJURY, ILLNESS, OR DEATH ARISING FROM OR RELATED TO: (A) ATHLETIC ACTIVITIES, WHETHER OR NOT LOGGED IN THE SERVICES; (B) WORKOUTS PRESCRIBED BY COACHES OR SELF-ADMINISTERED BY ATHLETES; (C) RELIANCE ON ANALYTICS, AI OUTPUTS, OR OTHER INFORMATION PROVIDED BY THE SERVICES; OR (D) ANY FAILURE TO SEEK PROFESSIONAL MEDICAL ADVICE.

11.4 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Track Tools Pro and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights, including intellectual property or privacy rights; or (f) any claim that your conduct caused injury to any person. We reserve the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you.

13. Termination

13.1 Termination by You

You may terminate your account at any time by using the account deletion feature in your settings or by contacting support@tracktoolspro.com. Upon termination, your right to use the Services will immediately cease.

13.2 Termination by Us

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: (a) violation of these Terms; (b) conduct that we determine, in our sole discretion, is harmful to other users, the Services, or third parties; (c) extended periods of inactivity; or (d) requests by law enforcement or government agencies.

13.3 Effect of Termination

Upon termination: (a) all licenses granted to you under these Terms will immediately terminate; (b) you must cease all use of the Services; (c) you will have 30 days to export your User Content before it is deleted (except where prohibited by law or where data must be retained for legal compliance); and (d) the following provisions will survive termination: Sections 2 (Physical Activity Disclaimer), 7.3 (Aggregated Statistics), 8 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 15 (Dispute Resolution), and 16 (General Provisions).

13.4 Data Portability

Prior to or within 30 days after account termination, you may request an export of your User Content in a commonly used, machine-readable format. Export requests can be made through account settings or by contacting support@tracktoolspro.com.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by: (a) posting a notice on the Services; (b) sending an email to the address associated with your account; or (c) other reasonable means. Material changes will not take effect until at least 30 days after notice is provided. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Services before the effective date.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

15.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@tracktoolspro.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved through good faith discussion.

15.2 Binding Arbitration

If informal resolution is unsuccessful, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") will be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator in the English language. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND TRACK TOOLS PRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

15.4 Small Claims Court Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court.

15.5 Opt-Out Right

You have the right to opt out of binding arbitration and the class action waiver within 30 days of first accepting these Terms by sending written notice to: Track Tools Pro, Attn: Arbitration Opt-Out, support@tracktoolspro.com. Your notice must include your name, account email, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you and Track Tools Pro may resolve Disputes in court, subject to Section 16.1 (Governing Law and Venue).

15.6 Institutional Accounts

For accounts held by educational institutions or organizations that are prohibited by policy from agreeing to binding arbitration, this Section 15 shall not apply, and Disputes shall be resolved in accordance with Section 16.1.

16. General Provisions

16.1 Governing Law and Venue

These Terms and any Dispute shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. For any claims not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.

16.2 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Track Tools Pro regarding the Services and supersede all prior agreements and understandings.

16.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

16.4 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Track Tools Pro.

16.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

16.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

16.7 Force Majeure

Track Tools Pro will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
